BWL Legal provided Titanium Developments Ltd with expert legal advice for the acquisition of land and associated Joint Venture and Special Purchase Vehicle.

Scope of works:

BWL’s Solicitors supported the client in reviewing and advising on the sale contract and overage deed, as the seller secured the right to additional overage payments based on the gross development value of the site.

BWL also advised on the commercial lending and development finance throughout the transaction, in order to ensure the business fulfilled the lender’s requirements to secure the capital, which was successful.

Midway through the transaction, the identity of the purchaser changed and a new shareholder and Director was appointed to the project. As a result of the change in requirements, BWL was able to provide specialist advice and create a Joint Venture and Special Purchase Vehicle agreement. The team meticulously reviewed and guided the client on the draft shareholder agreement and corresponding articles of association as part of this process.

The incoming shareholder also made a loan to the co-client, which resulted in the management and review of a further facility agreement and ancillary facility agreement. BWL’s Legal Team ensured each document was compliant and provided transparency over the transaction between all parties.

Challenges and solutions:

As the newly appointed Director of Titanium Developments was based overseas, the lender’s requirements surrounding this transaction were onerous and required BWL Group to liaise with the lender’s Solicitors. This guaranteed that all supporting documentation and paperwork was completed within the deadlines set out.

Involving two separate transactions, and four different law firms, this was a complicated matter that required a very tight timeframe. Working to the highest of standards, BWL’s Solicitors were determined to achieve the best possible outcome for the client by working out of hours and accommodating different time zones where necessary.
